Terms of Service

1. Acceptance of Terms

By accessing and using FileFlow ("the Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Service Description

FileFlow is a Shopify application that enables merchants to sell and deliver digital products to customers. The Service provides:

  • Secure file storage and management
  • Automated delivery of digital products via email
  • Download tracking and analytics
  • Customer access controls (download limits, expiration dates)
  • License key management (optional)

3. Eligibility

To use FileFlow, you must:

  • Have an active Shopify store
  • Be at least 18 years of age
  • Have the legal authority to enter into these Terms
  • Comply with all applicable laws and regulations

4. Acceptable Use

4.1 Permitted Use

You may use FileFlow to sell and deliver legal digital products to your customers, including but not limited to:

  • E-books, documents, and PDFs
  • Software and applications
  • Music, audio files, and podcasts
  • Videos and multimedia content
  • Graphics, templates, and design files

4.2 Prohibited Use

You agree NOT to use FileFlow for:

  • Distributing illegal, harmful, or malicious content
  • Distributing malware, viruses, or other harmful code
  • Violating intellectual property rights
  • Distributing copyrighted material without authorization
  • Sharing adult content or materials harmful to minors
  • Engaging in fraudulent or deceptive practices

Violation of these terms may result in immediate suspension or termination of your account.

5. Payment and Billing

  • Subscription fees are billed through Shopify's billing system
  • Pricing is based on the plan selected (Free, Starter, Professional, Enterprise)
  • Storage limits and features vary by plan
  • Fees are non-refundable except as required by law
  • Failure to pay may result in service suspension

You are responsible for all charges incurred under your account.

6. File Storage and Limits

  • Storage limits are determined by your subscription plan
  • File size limits apply based on your plan
  • You are responsible for monitoring your storage usage
  • Exceeding storage limits may prevent new file uploads

We reserve the right to remove files that violate these Terms or our Acceptable Use Policy.

7. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free access. The Service is provided on an "as is" and "as available" basis.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice.

8. Intellectual Property

8.1 Your Content

You retain all rights to the files and content you upload to FileFlow. You grant us a limited license to store, process, and deliver your files as necessary to provide the Service.

8.2 Our Intellectual Property

FileFlow, including all software, designs, and trademarks, is owned by Vellir Technologies and protected by copyright and other intellectual property laws.

9. Data and Privacy

Your use of FileFlow is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Termination

10.1 Termination by You

You may terminate your use of FileFlow at any time by uninstalling the app from your Shopify store.

10.2 Termination by Us

We may suspend or terminate your access to FileFlow immediately if:

  • You violate these Terms
  • You fail to pay applicable fees
  • Your use poses a security or legal risk
  • We are required to do so by law

10.3 Effect of Termination

Upon termination, your files and data will be deleted within 48 hours in accordance with our Data Retention Policy. You are responsible for backing up your data before termination.

11. Limitation of Liability

To the maximum extent permitted by law, Vellir Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Vellir Technologies from any claims, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload or distribute through the Service

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of NSW, Australia, without regard to its conflict of law principles.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in NSW, Australia.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
